Transparency register filing for your German GmbH, including changes

Every German GmbH and UG must report its beneficial owners to the transparency register (Transparenzregister) and keep the entry up to date (§ 20 GwG). You enter the persons holding more than 25 % in our form, with exactly the details the register asks for. We transmit the filing through our user account with the register and send you the confirmation of receipt as a PDF. This applies to the first filing and to every later change, at a fixed price of 89 € incl. VAT.

For a GmbH or UG whose shareholders are individuals and whose voting rights follow the shares. All other cases (holding, trust, association, KG) belong with a tax adviser or lawyer.

When is a change needed, and when not?

The register treats a change as a follow-up notification (Folgemitteilung): with the date from which the new situation applies and again with the complete list as it stands from that day. Anyone who has left is simply not listed. The register then closes the old entry itself as of the previous day.

Typical reasons for a change:

  • Shares sold or redistributed, a shareholder joins or leaves.
  • New personal details of a person: new name, move to another city or country, an additional nationality.
  • The company was filed while "in formation" and is now in the commercial register: the new register details then go into the transparency register as a change.

No filing is needed for a new company name, a change of seat, a new legal form or the dissolution of a company listed in the commercial register. According to the register, it takes these details from the commercial register itself.

If the original filing was already wrong (a missing middle name, for example), a correction is needed. For that, the register needs the 6-digit reference number from the original confirmation of receipt; please put it in the note field.

How much does a German transparency register filing cost?

Through Registerpilot 89 € incl. VAT, for a first filing as well as for a change. With the register itself, the filing is free of charge if you submit it yourself on transparenzregister.de. Separately, the register charges every company obliged to register an annual fee.

May a service provider file on behalf of my company?

Yes. According to the register, any person with power of representation may submit the notification, including on the basis of an instruction. No proof of authority is submitted; whoever transmits confirms the instruction in the register form. That is why you confirm, when ordering, that you are authorised to represent the company and instruct us.

What do I have to state for a change?

The date from which the new situation applies, and all persons holding more than 25 % as they stand from that day. The register always requires the complete list, not just the person who changed.

Do I have to report a change of seat or a new company name?

No, if the company is listed in the commercial register. The transparency register takes company name, seat, legal form and dissolution from the commercial register itself. Only changes to the beneficial owners are filed.

Do you check who our beneficial owners are?

No. You name the persons yourself, and we transmit your details unchanged. We do not give advice on individual cases. That is why we only handle the simple case: GmbH or UG, shareholders are individuals, voting rights follow the shares, at least one person holds more than 25 %.

What is the confirmation of receipt?

The PDF the register creates directly after the transmission: with date, reference number, company and all details filed. It confirms receipt of the filing, not the entry itself. Keep it; you need the reference number on it if something has to be corrected later.
